Payment Orchestration and Consumer Financing Platform Terms of Service
BYZLY – PAYMENT ORCHESTRATION & CONSUMER FINANCING PLATFORM TERMS OF SERVICE

These Terms of Service (the “Agreement”) are entered into by and between Flexxbuy LLC (“Flexxbuy”, “we”, “us”, or “our”) and the merchant entity or white label partner (“Merchant”, “Partner”, “you”, or “your”) that accesses or uses the Byzly platform (the “Platform”). This Agreement governs your access to and use of the Platform, which include payment orchestration, transaction processing, and embedded consumer financing options.
Introduction
Flexxbuy developed and operates a platform, Byzly, connecting and allowing merchants to receive payments via e-wallets, mobile payment apps, credit cards and other payment methods as well as through financing lenders provided through the Platform. These terms apply to users of the Platform’s payment landing page (Payment Hub) and financing landing page (Payment Hub) in order to make a transaction to a specific merchant.
Please carefully read the following terms and conditions (the “Terms” or the “Terms of Service”). By choosing to make a payment via the Platform you agree to be bound by these Terms, and you signify that you have read and understood them. If you do not agree to the Terms, you may not use the Platform in any way.
These Terms apply to and govern the use of the Platform by any communication means (including smartphones, tablets, personal computers etc.). These Terms further apply to the use of the Platform via the Internet or any other communication network.
In addition, the Platform shall be provided and shall be used in accordance with any applicable law and/or applicable relevant policies including but not limited to acceptable use policies of the payments’ service providers (if any).
Use of the Platform requires an online connection (Wi-Fi, cellular data, broadband) between your personal computer or mobile device and the Internet. You will not be able to access and use the Platform without such a connection. You are solely responsible for all costs and expenses of such connection, as specified in your subscriber plan or contract with your communication service provider. Some of the features within the Platform may be dependent on your wireless service and the wireless coverage within the area in which you are located at that time.
Scope of Platform
Byzly provides:
– A payment orchestration platform to route transactions across multiple processors (credit card, ACH, Venmo, Apple Pay, Google Pay, etc.)
– API, SDK, and embedded UI components for seamless integration
– Access to consumer financing options via third-party non-recourse lenders
– Tokenization and secure vaulting of payment information
– White label capabilities for platform partners, when applicable
– You and your Representative individually affirm to Flexxbuy that (a) your Representative is authorized to provide User Information on your behalf and to bind you to this Agreement; and (b) your Representative is an executive officer, senior manager or otherwise has significant responsibility for the control, management or direction of your business. Flexxbuy may require you or your Representative to provide additional information or documentation demonstrating your Representative’s authority.
White Label and Co-Branded Partnership
For white label partners, Byzly provides co-branded or fully branded versions of the platform. You agree:
– To use the Platform in compliance with branding and usage guidelines
– That all end-user relationships remain bound by Byzly’s underlying platform policies, unless otherwise agreed in writing
– To provide appropriate disclaimers to your users indicating that financing platform providers are subject to third-party lender terms
Consumer Financing Terms
Byzly facilitates access to financing products through third-party lenders. By engaging with the financing component:
– You acknowledge Byzly does not underwrite or fund any consumer loans
– You must disclose applicable APRs, terms, and lender information to consumers at the point of offer
– You may not represent loan prequalification or approval as guaranteed
– You agree to notify Byzly immediately of any complaints, disputes, or suspected fraud related to loan offers
Byzly may provide credit tier estimation tools, but decisions are made solely by the financing institutions.
Merchant and Partner Responsibilities
You agree to:
– Maintain compliance with applicable laws and card network rules
– Accurately represent your business and consumer offers
– Ensure all services and solutions offered via Byzly are legal and not on the prohibited business list
– Cooperate in fraud prevention, identity verification, and compliance reviews
Third-Party Processors and Lenders
You understand and agree:
– Payments and loans are processed by third-party entities with separate terms of service
– Byzly is not liable for settlement delays, declines, or consumer loan denials
– Your relationships with processors and lenders may be subject to onboarding and underwriting
Fees and Billing
Fees may include but are not limited to:
– Subscription fees for platform access
– Transaction fees per payment or financing attempt
– Funding fees for financed loans
– Monthly subscription fees for certain lender utilization-
– Platform service fees for white label customizations or support

Data and Security
– Byzly adheres to PCI DSS where applicable
– Consumer financial and personal data will be handled securely and shared only with necessary parties (e.g., lenders, processors)
– You agree to maintain secure integrations and not store payment data on your systems unless compliant

Prohibited Use
You may not use the Platform for:
– Unlawful goods or Platform
– Misrepresenting consumer loan eligibility
– Providing financial advice or loan guarantees without a license
Byzly may terminate access for any violation or regulatory concern.
Intellectual Property
Byzly retains all ownership of software, branding, APIs, and documentation. Partners may not reverse engineer, resell, or white-label without agreement.
Limitation of Liability
Byzly is not liable for:
– Loss of revenue from declined payments or denied loans
– Errors by third-party lenders or payment processors
Total liability will not exceed fees paid in the 90 days preceding the claim.
Indemnification
You agree to indemnify Byzly for any losses, claims, or damages arising from your breach of this Agreement, violation of laws, or misrepresentation of financing terms.
Termination
Either party may terminate this Agreement with 30 days’ notice. Byzly may suspend access immediately for violations, legal exposure, fraud or non-payment.
Governing Law
This Agreement is governed by the laws of the State of Florida, and disputes shall be resolved in the courts located in St. Lucie County, Florida.
Amendments
Byzly may update these terms. Continued use of the Platform after updates constitutes acceptance.
Acceptance
By using Byzly, you agree to these Terms of Service.
